Israeli Hedge Fund Formation · Infrastructure Build

The investment strategy creates the potential. The right infrastructure turns it into a professional, stable hedge fund built to grow.

Important notice: This service covers the advisory, planning, coordination and control of the process of building the infrastructure a hedge fund requires in order to be established and to begin operating. It is delivered, as needed, in cooperation and coordination with the relevant professional advisers, and does not replace the legal, tax, accounting, audit, administration or any other professional advice or service required in order to establish and operate the fund. Likewise, we bear no responsibility for the investment strategies the fund selects or for their results.

Who it's for
A

Partners before formation

Two or three partners who have decided to take a proven trading strategy into a hedge fund structure, and want to build the infrastructure from scratch into a fund that works.

B

An active fund

The fund is running, but the infrastructure was built on the move and under time pressure. What is needed now is to put procedures, controls and permissions in order, reconcile economic against accounting valuation, and make operations efficient enough to grow on.

C

An institution looking to launch further hedge funds

The strategy is proven and the seed capital is in place; what is missing is infrastructure built to fit an existing institutional operation.

Why not do it alone?
A fund is greater than the sum of its parts

A proven strategy is necessary but not sufficient. An Israeli hedge fund is a legal entity with a dual structure, a dedicated tax arrangement with the Tax Authority, a segregated set of accounts, an external administrator holding signature authority, an auditor, trading systems and data vendors, a back office, procedures and controls — and above all of these, a system has to be built that holds them together as one whole.

What trips funds up in the first two years is not necessarily the market. It is the infrastructure: transparency towards investors, a fee structure that was never defined tightly enough, a missing liquidity mechanism, risk policy and controls, separation of duties that was never established, working procedures, or misunderstandings between the partners. Together these are what signal stability, efficiency and credibility to investors.

Decisions settled in the first months — the type of ruling, the fee structure, redemption terms, authorised signatories — set the fund's room to manoeuvre for years. Strategic and operational decisions are what produce the control mechanisms behind stability, liquidity, efficiency and credibility.

What we offer — the vantage point that connects the trading to the fund built around it

Strategic thinking, defined objectives and execution, alongside hands-on experience establishing an Israeli hedge fund from the ground up — producing the full set of foundations: corporate structure, founders' and partnership agreements, corporate governance, operating infrastructure, permissions architecture, back office, control processes and risk-management requirements, client management and marketing — working with lawyers, auditors, banks, the administrator and vendors.

Alongside substantial experience upgrading operating, control and technology infrastructure at Bank Leumi and at an independent trading firm, including proprietary equity trading at volumes in the billions of shekels a year — and an understanding of what shareholders, traders, control staff, external counterparties and clients each need.

We know which foundations matter enough to lay at formation, so that what is built on them is a stable fund that can grow.

Engagement model

Tracks

The infrastructure built is identical in both tracks — all twelve modules in full.

Later stage: handing the baton to your own COO, or providing outsourced operations.

One-time build

Project-based, including a full handover pack

Available as a managed process, or as a full build service
  • The complete infrastructure built across all twelve modules
  • Building the interface with the lawyer, the accountant, the banks, the administrator and any other relevant parties. Coordination, strategic direction and review of every document with the partners.
  • A full trial month and the first investor report
  • Every deliverable is yours, in editable format. Confidentiality assured.

Right when someone inside the fund is ready to take the operational wheel the moment it is handed over.

Outsourced COO services

Ongoing operation, tailored to the fund

  • Everything in the one-time build, followed by ongoing operation of the infrastructure
  • Monthly close and reconciliation with the administrator and the broker
  • Investor reporting and capital account statements
  • Investor onboarding and management of the subscription process
  • Ongoing control over procedures, permissions and process compliance, including risk management
  • Support through institutional investors' due-diligence questionnaires
  • Tracking of reporting obligations and regulatory updates

Right when the fund would rather keep its team on strategy, the market and fundraising — not on operations.

A boutique model

We work with a limited number of funds at any one time, under full confidentiality and discretion. Every engagement is built around that particular fund's structure, strategy and stage of development — not to a fixed template, and not as an off-the-shelf service.

The basic foundations of formation are the same in either track

The work runs in parallel rather than in sequence, around the turnaround times of the bank, the Tax Authority, counsel, the auditor and the administrator

01

Feasibility

Mapping the strategy, the investor base and the expected scale of capital. The phase ends with a decision on the model, and a work plan with a timetable and a budget.

02

Formation

Incorporating the entities, drafting the agreements with counsel, approaching the Tax Authority, selecting an administrator and an auditor, opening the set of accounts and embedding the working process with the administrator. This is the long phase, and its duration is largely set by external parties.

03

Infrastructure & run-in

Opening trading systems and data vendors, written procedures, numeric risk limits, the back-office budget and the first investors — closing a full trial month and issuing the first investor report.

04

Handover

An independent, operating fund with every piece of infrastructure its formation required: a first set of working procedures, a standalone control model, and training for the team that will keep running it. Every deliverable is entirely yours. Confidentiality assured.

FAQ

Frequently asked questions about establishing a hedge fund in Israel

Strategic decisions are required on the structure and on which professionals to appoint, plus a strategic and operational review of every document and agreement. We are also bound by the turnaround times of external parties — the law firm, the bank, the Tax Authority and the administrator — which is why the work runs in parallel rather than in sequence, to save time.
Allowing for those turnaround times and for the partners' own availability, a fund can be opened within two to three months — though without prior knowledge and experience the process can run several months longer.

The accepted structure is for the general partner to manage the partnership's own assets, which is intended to avoid the need for a licence. This is settled with the fund's lawyer at the first stage, and it requires complete consistency over time between how the documents are worded and how the fund actually operates.
Investment in traditional hedge funds is open to institutional investors and qualified investors only, and the law caps the number of non-qualified investors a fund may admit (up to 35 offerees per year and 50 in total).
It matters that the managing bodies are chosen from the outset to fit the fund's objectives. Turnover among the professionals can signal to investors that something may be wrong. We build the infrastructure with every one of them — lawyer, accountant, tax trustee, administrator — so that the parts connect into a single system rather than remaining a collection of separate documents. The engagement includes managing those interfaces and closing the gaps between them.
Yes, and sometimes more so. A fund that grew quickly built its infrastructure on the move, and usually what is missing is written procedures, a valuation policy, separation of duties and a permissions matrix. These are precisely the areas an external audit or an institutional investor's due-diligence questionnaire tests first.
The fund is run by you. Every deliverable is entirely yours and in editable format, and the team that will keep operating it is trained. We remain available for review points or to support the monthly close during the early period — by choice, not as an ongoing commitment.
Pricing is set in the feasibility call, according to the structure chosen, the scope of work and the number of entities. The one-time build is priced as a project with payments against milestones; outsourced COO services are priced as a monthly retainer. In both cases the proposal is written, carries a defined scope, and states explicitly what is not included.
The infrastructure built is identical — all twelve modules in full. The difference is what happens afterwards: in the one-time build the infrastructure is handed to you with procedures and training, and the fund operates it itself. Under COO services we continue to operate it on an outsourced basis — monthly close, investor reporting, investor onboarding and ongoing control.
Yes, and it is the natural progression. Some funds find in their first months of operation that the operational load is heavier than planned, or that the team needs to concentrate on fundraising. Because we built the infrastructure, the transition requires no learning period.
Our expertise is in the Israeli structure — the advance tax ruling with the Tax Authority, the offering limits under the Securities Law, and working with the local banks. A foreign or dual-structure fund requires local counsel in the relevant jurisdiction, and we work alongside them rather than in their place. The operating infrastructure itself is the same, so the operational build can be provided either way.
A limited number. That is a deliberate choice rather than a limit of capacity: each fund's infrastructure is built around its own strategy, structure and stage of development, and that does not work to a single template. We want to give each build the full attention a thorough, professional job requires.
Any information disclosed in the course of the work — strategy, investor identities, financial data and commercial terms — is confidential and is not passed to any third party, including after the engagement ends. A confidentiality agreement is signed at your request before work begins, and before any material details are disclosed.
The investment strategy and the risk policy — those are always yours. Beyond that, what is needed is availability to make decisions and approve deliverables within a few business days, and the appointment of a lawyer and an accountant early on. Delay in making those appointments is the single most common cause of a timetable slipping.
No. We build the infrastructure that makes fundraising possible — the subscription documents, the identification procedure, the materials pack and the due-diligence questionnaire — but we do not approach investors or market the fund. Approaching investors, the trading activity, the fund's results and its responsibility towards investors all rest with the fund, subject to the offering limits set by law.
About

Experience that connects investing, formation and operations

DOB brings to the formation process a perspective built over years in capital markets, in trading and in management — alongside hands-on experience establishing and running a hedge fund.

That experience lets us see the formation of a fund not as a collection of tasks and vendors, but as a single system that has to work properly together: from the structure and the processes, through the interfaces between the professional advisers, to the needs that surface once the fund starts operating and begins to develop.

The professional background of DOB's founder includes trading and management in capital markets, among them at Bank Leumi and in independent trading, and subsequently the establishment and joint management of an Israeli hedge fund. The combination of familiarity with the investment world and practical experience on the business and operational side of a fund is the basis of DOB's approach.

Rather than building each component separately, we look at the whole picture — and help build infrastructure that fits the fund, its strategy, and the way it is designed to operate.
